Any user of this site agrees to comply with all laws of the country in which he/she resides, which are applicable while data is transmitted on the Internet. ePROMIS makes no guarantee that the content on this site is appropriate or available for use in other locations. Those who choose to access this site from other locations shall do so at their sole discretion and are responsible for compliance with local laws.


2. Information Sharing


ePROMIS does not share private information about you with non-affiliated companies except to provide information regarding a product or service under your request; when we have your complete permission. We respond to the summons, court orders, or legal process, or to establish or exercise our legal rights or defend against legal claims. We may share information about you if ePROMIS is acquired by or merged with another company. ePROMIS will also provide the information to trusted entities who work on behalf of or with us under strict confidentiality agreements. These entities may use your personal information to help ePROMIS communicate with you about offers from ePROMIS and our marketing partners. Nonetheless, these companies are not given any independent authority to share further or disseminate this information.

We will make an earnest effort to respond, to correct inaccuracies in your personal information promptly as per your request. The message containing these inaccuracies is to be sent back to the sender for the required correction to be made.

We believe it is necessary to share the information to protect or enforce ePROMIS' s rights, usage terms, intellectual or physical property, or for the safety of ePROMIS or associated parties.


The websites belonging to ePROMIS are not directed nor are targeted at children under the age of thirteen. Anyone who has not reached the age of thirteen may access or use the websites unless supervised by an adult.

3. Cookies And Other Technologies


Anonymous information might be collected from visits to our sites; this helps us to provide better customer service. 4. Anti-Spam Policy


ePROMIS has taken reasonable measures to minimize the transmission and effect of spam emails in our computing environment as we consider the receipt, transmission, or distribution of spam emails as a major concern. All the emails that ePROMIS receives are subjected to a spam check, and if any email is identified as spam the email is immediately rejected, and the sender will be notified with sufficient information for taking necessary action. With this measure, along with other technical spam reduction measures, ePROMIS hopes to minimize the effect of spam emails.ePROMIS reserves the right to reject any suspicious or spam email, and even report them to the authorities concerned for necessary action if a need arises.


5. Links To Non-ePROMIS Websites


ePROMIS may provide links to third-party websites for your convenience and information. If you access those links through the ePROMIS website, you will leave the ePROMIS website. ePROMIS does not control those sites or their privacy practices, which may differ from ePROMIS’s practices. We do not endorse or make any representations about third-party websites. If you choose to provide personal data to any third party including social media mentioned on our website does not come under the ePROMIS Privacy Policy. It is our strong recommendation that you review the privacy policy of any website before submitting your personal information.


We may also provide social media features on our website that enable you to share ePROMIS information with your social networks and to interact with ePROMIS on various social media sites. 8. Personal Data Handling


ePROMIS may transfer your personal information to any other body corporate or a person in any country that ensures the “same level of data protection” that is adhered to by it. ePROMIS shall also not publish your personal information and shall ensure that the information transferred to a third party is not further disclosed by it. ePROMIS respects your privacy and you are given the option to opt-out of providing the data or information that is being requested. Further, you can also withdraw your consent which was earlier given to ePROMIS, and the same must be communicated to ePROMIS in writing. ePROMIS shall not be liable for the authenticity of any data supplied to us by the provider. It is the provider’s duty it is to ensure that the information provided by it or its employees is authentic. You agree to indemnify, defend, and hold harmless ePROMIS Solutions, its officers, directors, partners, employees, consultants, and agents, from and against any third-party claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and court costs) that such parties may incur as a result of or arise from the violation of these Terms of Use; or any viruses, trojan horses, worms, time bombs, cancelbots, spyware, or other similar harmful programming routines input by you into the Site.


No waiver by ePROMIS of any right under or term or provision of these terms and conditions will be deemed a waiver of any other right, term, or provision of these terms and conditions at that time or a waiver of that or any other right, term, or provision of these terms and conditions at any other time.

14. Disputes

Therefore, to the extent permitted under applicable privacy laws, and where no other privacy law applies, all disputes arising out of this Privacy Statement shall be resolved as follows. This Agreement, and any Dispute arising out of or in connection with the Agreement, its subject matter or its formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the laws of the state of Texas (USA). The Parties irrevocably submit to the exclusive jurisdiction of the American Arbitration Association in Houston, Texas, USA to settle any Dispute which may arise out of or in connection with this Agreement.

Furthermore, this Privacy Statement endeavors to comply with the General Data Protection Regulations of the European Union (“GDPR”) for any Services accessed from the European Union (“EU”), however, we cannot guarantee that our Services and collection of Personal Information will be in compliance with the GDPR or any Data Protection Laws not applicable to our Services. 1.3 When ePROMIS Collects Information: We collect data to provide the products and services you request on the Services, ease your navigation on the Services, communicate with you, and improve your experience using the Services. • Provide information through the use of an ePROMIS Subscription SaaS service or private cloud ePROMIS Enterprise Resource Planning (“ERP”) instance.

• Sync, link, or otherwise connect with third party applications through your ePROMIS Subscription SaaS service or private cloud ePROMIS ERP.


1.4 Some of the information is collected through your interactions with the Services or third-party websites and applications. We collect such data using technologies like Cookies and other tracking technologies, error reports, and usage data collected when you interact with our Services. Some of the information is collected from your use of, and interactions with, us and others on social media, including but not limited to YouTube®, Twitter®, Facebook®, and LinkedIn® (collectively, “Social Media”).


1.5 The Services may change over time and ePROMIS may introduce new features that may collect new or different types of information. The data we collect depends on the products, services, and features of the Services that you use.


1.6 Personal Information: When you visit the Services without creating an account, you can browse without submitting Personal Information about yourself. In general, we collect Personal Information that you submit to us in the process of creating or editing your account and user profile on the Services or that you submit to us voluntarily through your use of the Services. Information that identifies, relates to, describes, is reasonably capable of being associated with, or could be reasonably linked, directly or indirectly, with a particular consumer or household is “Personal Information.”

1.7 We may also collect Personal Information from third parties, such as Social Media, Payment Processors, product vendors, and other partners. Our collection of this information allows us to provide you with our Services, establish, maintain and support your user account on the Services, and communicate with you in accordance with our Website Terms of Use.


1.8 Automatically Collected Usage and Device Information: Similar to other websites, we use tracking technologies to automatically collect certain technical information from your web browser, mobile, or other device when you visit the Services. This data may include, but is not limited to, your Internet Protocol (“IP”) address, browser type and language, referring/exit pages and URLs, other browser history, platform type, number of clicks, landing pages, the pages you requested and viewed, the amount of time spent on particular pages, and the date and time of your visits. Pixels: (aka web beacons/web bugs/java script): We may use Pixels to automatically record certain technical information about your interactions with us when you visit the Services or otherwise engage with us, to help deliver Cookies on our Services, or count users who have visited the Services or used our services. 1.10 Location Information


We collect precise geolocation data from you or your device, as well as your address information, e.g., shipping and billing address, when you set up your account and order our products. We also collect and use information about your general location (e.g., your state of residence) and can infer your approximate location based on your IP address in order to track our general Services usage or to tailor any pertinent aspects of your user experience to the region where you are located.


1.11 Social Media


If you interact with us or our other users regarding ePROMIS and its products and services on any Social Media: (a) the Personal Information that you submit by and through such Social Media can be read, collected or used by us (depending on your Social Media privacy settings) as described in this Privacy Statement, and (b) where ePROMIS responds to any interaction with you on Social Media, your account name/handle may be viewable by any and all members or users of ePROMIS’ Social Media accounts. We are not responsible for the Personal Information that you choose to submit or link on any Social Media. Social Media operates independently from ePROMIS, and we are not responsible for Social Media interfaces or privacy or security practices. We encourage you to review the privacy policies and settings of any Social Media with which you interact to help you understand their privacy practices. If you have questions about the security and privacy settings of any Social Media that you use, please refer to the applicable privacy notices or policies.


1.12 Consent to Data Collection.


We request various types of Personal Information from you, and can only receive such data if you provide it willingly and consent to its provision to us, when opening an account with us or procuring any product, Services or content from ePromis. Any use or transmittal of your data will only be completed once you are made completely aware of its use and transmittal, and then only with your consent, for the sole purpose of delivering Services. If we disclose any of your Personal Information to third parties, it will be done so only with confidentiality and protective measures equivalent to those provided by us through this Privacy Statement. We will not make any of your Personal Information public, or disclose the same to third parties, unless you authorize us specifically. When we disclose Personal Information for a Business Purpose, we enter into a contract that describes the purpose and requires the recipient to keep that Personal Information confidential and we use such Personal Information only for performance of the contract, and not for any other purpose.


1.13 Data transfer outside the EU for EU Based Customers


Data transfer abroad is based on consent, in that we shall only transfer your data outside the EU for the purpose of providing access to any products or Services offered to you by ePROMIS. Such data transfer will be to third parties who maintain confidentiality requirements and data protection capabilities sufficient to protect and secure your data, if this is at all required. By registering an account with us, you hereby agree to allow your data to be transferred outside the EU for the reasons described in this paragraph, and subject to the terms described herein.

2. Third party analytics providers


We also use Google Analytics and other third party analytics providers (“Analytics Providers”) to collect information about Services usage and the users of the Services in a non-personally identifiable, and generic manner. Analytics Providers use Cookies in order to collect demographic and interest-level information and usage information from users that visit the Services, including information about the pages where users enter and exit the Services and what pages users view on the Services, time spent, browser, operating system, and IP address. Cookies allow Analytics Providers to recognize a user when a user visits the Services and when the user visits other websites. Analytics Providers use the information they collect from the Services and other websites to share with us and other website operators’ information about users including age range, gender, geographic regions, general interests, and details about devices used to visit the Services and other websites and purchase items. The Services contains links to third party websites and services, including links to Social Media and other business partner websites. We are also not responsible for the privacy practices and the terms and conditions of use for any external websites or services. The linked websites and services may collect Personal Information from you that is not subject to our control. The data collection practices of linked third party websites and services will be governed by that third party’s privacy policy and terms of use.


4. Connecting our services with third party services


ePROMIS works with other companies or developers who provide products and services that you may choose to sync, link or otherwise connect with your ePROMIS account. If you choose to make use of such related products or services, ePROMIS may exchange information, including your Personal Information, information from your account, and information about how you interact with each company’s Services or products with one or more third parties. This routine exchange of information is necessary to maintain business operations and to provide the requested services. Such disclosure of information shall be subject to the provisions described in section 1 of this Privacy Statement which govern the use of your Personal Information.


5. Advertising and Emails


5.1 When you create an account with us and provide us with your email we may, subject to applicable law, use your email address to send you Services-related notices (including any notices required by law, in lieu of communication by postal mail), updates, news, and marketing messages. For example, when you register, you will receive a welcome email. If the Services or our services are temporarily unavailable, we may also send you an email.


5.2 Email communications you receive from us will generally provide an unsubscribe link or instructions allowing you to opt out of receiving future emails or to change your contact preferences. 6.1 We reserve the right to disclose all information collected via the Services, internally, to affiliates, or to third parties, for any lawful purpose or to prevent harm to us or others. 7. Declining to provide personal information


7.1 You can choose not to provide Personal Information. You may always decline to provide your Personal Information to us. Registering for an account is not required to access some of our online content. If you decide to register, you can choose to provide information that does not reasonably identify you to others by selecting a username that is not related to your actual name, where this is permitted and/or possible for functional access of the Services. You can also decline to provide any optional information in your account. 8.5 We cannot respond to your request or provide you with Personal Information if we cannot verify your identity or authority to make the request and confirm the Personal Information relates to you. Making a verifiable consumer request does not require you to create an account with us. We will only use Personal Information provided in a verifiable consumer request to verify the requestor’s identity or authority to make the request.


8.6 We do not charge a fee to process or respond to your verifiable consumer request unless it is excessive, repetitive, or manifestly unfounded. If we determine that the request warrants a fee, we will tell you why we made that decision and provide you with a cost estimate before completing your request.


9. Non-discrimination


We will not discriminate against you for exercising any of your rights under applicable law. Unless permitted by applicable law, we will not:

We do not review for accuracy or update your information regularly, but encourage you to access, review and update your Personal Information at any time. We will respond to your request as soon as reasonably possible after verifying your authority to make such requests. Your requests for Personal Information deletion are subject to Section 8 of this Privacy Statement above and we will delete your Personal Information within a reasonable time.



11. Security


11.1 ePROMIS is committed to protecting the security of your information. ePROMIS uses a variety of security technologies and procedures to help protect your information from unauthorized access, use, or disclosure. For example, ePROMIS stores the information you provide on computer systems with limited access, which are located in controlled facilities. If a password is used to help protect your accounts and Personal Information, it is your responsibility to keep your password confidential. Do not share this information with anyone. If you are sharing a computer with anyone you should always choose to log out before leaving a site or service to protect access to your information from subsequent users.


11.2 Breach Notification. You will be notified of any breach of Personal Information stored by us or provided to us by you within 72 hours of the occurrence of such a breach. 12. Data retention


12.1 In accordance with and as permitted by applicable law and regulations, ePROMIS will retain your information as long as necessary to serve you, to maintain your account for as long as your account is active, or as otherwise as long as is necessary for the uses described in this Privacy Statement.


12.2 When your account expires or becomes disabled, ePROMIS will retain your information for at least 30 days before it is permanently removed from all of ePROMIS’ systems. ePROMIS will retain information about its customers as required by applicable regulations and to comply with its legal and reporting obligations, resolve disputes, enforce agreements, complete any outstanding transactions and for the detection and prevention of fraud.



13. International data transfers


Please be aware that we are headquartered in the United States. The Services are governed by United States law. In accordance with, and as permitted by applicable law and regulations, ePROMIS reserves the right to transfer your information, process and store it outside your country of residence to wherever ePROMIS or its third-party service providers operate. If you reside outside the United States your information will be transmitted, processed, and stored there under United States privacy standards. The United States might not offer the same level of privacy protection as the country where you reside or are a citizen. BY USING THE SERVICES, COMMUNICATING WITH US VIA MAIL, EMAIL OR TELEPHONE, OR OTHERWISE PROVIDING INFORMATION TO US, YOU CONSENT TO THE TRANSFER TO, AND PROCESSING OF YOUR INFORMATION IN THE UNITED STATES.


14. Rights under the GDPR


14.1 Residents of the European Economic Area (“EEA”) and the EU may be entitled to rights under the GDPR. If you qualify, these rights are summarized below.
